Michael C. Fasano is an experienced trial lawyer and commercial disputes litigator who handles high-stakes corporate and commercial litigation, including complex bankruptcy-related disputes, bet-the-company trial matters, and expedited merger-and-acquisition litigation in state and federal courts. He has first-chair jury and non-jury trial experience in state and federal courts in addition to multiple arbitral tribunals. 

Mr. Fasano also represents ultra-high-net-worth individuals, high-value closely held companies, and other corporate clients in white-collar criminal and regulatory defense and related government enforcement matters.

Before joining Kobre & Kim, Mr. Fasano founded and managed Fasano Law Firm, PLLC, an award-winning boutique litigation and advisory firm.

  • Representation of 46 former executives and employees of AIG Financial Products, a subsidiary of AIG International Group, in litigating claims in Delaware Bankruptcy Court against AIG, seeking approximately US $600 million in damages for compensation owed to the former employees.
  • Representation of Propel Fuels Inc. in Propel Fuels Inc. v. Phillips 66 Co., resulting in a US $604.9 million jury verdict following a five-week trial in California Superior Court, plus US $195 million in exemplary damages and pre-judgment interest, bringing the total award to more than US $833 million.
  • Representation of Big V Property Group, a commercial real estate investment fund and property manager of over US $2 billion in assets under management, and its CEO in litigation in the Delaware Court of Chancery against allegations of breach of fiduciary duty, fraud, and corporate waste.
  • Representation of Omni Logistics with respect to its expedited litigation in the Delaware Court of Chancery seeking to compel Forward Air to close its transaction with Omni following Forward Air’s attempt to terminate the parties’ merger agreement. Kobre & Kim handled various aspects of offensive third-party discovery against Forward Air’s financial advisors and lenders, including Morgan Stanley and Citigroup.
  • Representation of Skatteforvaltningen, Denmark’s Customs and Tax Administration, in the United States District Court for the Southern District of Florida regarding complex fraudulent transfers made in furtherance of alleged fraudulent international tax scheme.
  • Representation of Latin American gold mining company in commercial dispute with foreign investor regarding alleged economic damages and lost profits, including successful representation of client in final arbitration hearing before the International Centre for Dispute Resolution.
